1. Agreement to Terms

By creating an account or using Goshawk (the “Service”), you agree to these Terms of Service (“Terms”). If you're agreeing on behalf of a business, you're confirming you have the authority to bind that business, and “you” refers to that business. If you don't agree, don't use the Service.

2. What Goshawk Is

Goshawk is a software platform for home-service contractors (“Contractors”) that generates instant, AI-assisted price estimates for jobs (using satellite measurement data where available), builds branded proposals homeowners can review and electronically accept, and helps Contractors collect payment and manage their pricing. Goshawk is a software tool for Contractors — it is not itself a contractor, does not perform any home-service work, and is not a party to any agreement between a Contractor and their customer.

3. Eligibility & Accounts

You must be a legitimate business (or someone authorized to act for one) providing home-service work to use Goshawk as a Contractor. Accounts are created via Google sign-in; you're responsible for anything that happens under your account, including actions taken by staff you invite. You must provide accurate business and contact information and keep it current.

4. Free Trial

Before subscribing, you may create real, priced estimates for up to five (5) distinct addresses at no charge (“Trial Addresses”). Those same five addresses remain free to re-estimate for as long as your account exists, even after you subscribe — they're meant for testing your own pricing setup, not for producing real customer estimates at no cost. Using the trial as an unlimited free lead-generation tool, or attempting to unlock more than five addresses through multiple accounts, is not a permitted use.

5. Subscription Plans & Billing

Paid plans are billed monthly through Stripe. Two plans are available, differing only in whether Goshawk has built you a website: a Standard plan (a flat monthly base fee) and a Website Design plan (a flat monthly base fee plus a one-time setup fee for the build, billed with your first month). Both plans include the same number of estimates per month at no additional charge; estimates beyond that amount are billed automatically at posted, banded per-estimate rates that decrease as volume increases. Plan pricing, included amounts, and banded rates are shown in the Service and may change with notice. You can cancel anytime through your billing settings; canceling returns your account to Trial Address-only behavior at the end of your current billing period, and any usage already incurred that period is still billed. Once site-build work has begun, the one-time setup fee is not refundable. If a payment fails, your account is limited to Trial Addresses until it's resolved. Bonus estimate credits, if granted, have no cash value, are reflected only in what's displayed to you as "included," and don't roll over past account closure.

6. Usage Cap & Contact-Form Widget

You may set your own monthly estimate cap in your billing settings — a self-service tool, off by default, requiring no approval. A cap never limits what you can do inside the Service itself; once reached, it only switches your public quote widget (including your Goshawk-built site's quote page, if you have one) over to a simple contact form instead of running a new estimate, until your next billing period starts. Submitting that contact form is always free and never counts toward your estimate usage, whether or not a cap is set or reached.

7. Estimates Are Estimates

Pricing, measurements (including any satellite-derived roof or property measurements), and line items Goshawk generates are automated approximations meant to help a Contractor quote a job quickly — they are not guarantees, inspections, or professional assessments, and Goshawk cannot see conditions that aren't visible from available imagery or the details entered (for example, structural damage, decking condition, or issues hidden from above). Contractors are solely responsible for verifying pricing, scope, and terms before presenting them to a customer, and for the accuracy of any pricing logic, disclaimers, or descriptions they configure.

8. Contractor Responsibilities

You're responsible for holding any license, bond, or insurance your jurisdiction requires for the work you offer, and for the accuracy of any compliance documents you submit. Submitting a document to Goshawk doesn't mean Goshawk has verified your legal authority to perform the work — Goshawk's review is for routing purposes on the platform, not a substitute for your own licensing obligations. You're responsible for the content of any pricing prompt, tier description, disclaimer, or email template you configure, and for honoring the estimates and proposals you send to customers.

9. Payments

If you connect a Stripe account to accept customer payments through Goshawk, those payments settle directly to your own Stripe account — Goshawk facilitates the connection but does not hold, control, or take responsibility for customer funds, refunds, or chargebacks; your relationship with Stripe is governed by Stripe's own terms. If you link a third-party financing option, Goshawk simply displays your link — Goshawk is not a party to, and takes no responsibility for, any financing arrangement between you and a customer or lender.

10. Third-Party Services

Goshawk relies on third-party services — including Google (sign-in, address/satellite data), Stripe (billing and payments), and, if you connect them, QuickBooks or Wave — to operate. Your use of those integrations is also subject to that provider's own terms, and Goshawk isn't responsible for their availability, accuracy, or changes.

11. Acceptable Use

Don't use Goshawk to submit false business, licensing, or compliance information; to harass or deceive customers; to attempt to access another Contractor's account or data; to interfere with or reverse-engineer the Service; or to use it for anything unlawful.

12. Your Content

You keep ownership of the pricing logic, business information, and other content you submit to Goshawk. You give Goshawk permission to use it as needed to operate the Service on your behalf (for example, generating and sending an estimate on your account's behalf).

13. Goshawk's Content

The Goshawk name, logo, and the Service itself (excluding your own content) belong to Goshawk and are protected by applicable intellectual property law. These Terms don't grant you any rights to them beyond using the Service as intended.

14. Suspension & Termination

Goshawk may suspend or terminate an account that violates these Terms, misuses the trial, provides false compliance information, or creates risk for other users or the platform. You can stop using the Service and cancel your subscription at any time; sections of these Terms that by their nature should survive (e.g. payment obligations already incurred, limitation of liability) will survive termination.

15. Disclaimers

THE SERVICE IS PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. GOSHAWK DOES NOT WARRANT THAT ESTIMATES ARE ACCURATE, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY THIRD-PARTY INTEGRATION WILL BE AVAILABLE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOSHAWK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. GOSHAWK'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID GOSHAWK IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

17. Indemnification

You agree to indemnify and hold Goshawk harmless from claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or the work you perform for your customers.

18. Changes to These Terms

Goshawk may update these Terms from time to time. If changes are material, Goshawk will make reasonable efforts to notify active accounts. Continuing to use the Service after changes take effect means you accept the updated Terms.

19. Governing Law

These Terms are governed by the laws of the State of South Dakota, without regard to conflict-of-law principles.
